一、协议目的
The A Club（以下简称“A Club”）系邀请制、高端商业与资本俱乐部，旨在为会员提供一个安全、私密、高质量的交流、合作与资源对接环境。
本会员行为准则与保密协议（以下简称“本协议”）旨在规范会员在 A Club 相关活动、平台及交流场景中的行为，保护会员、项目方及 A Club 的合法权益，并维护俱乐部整体秩序与圈层质量。
二、会员行为准则
- 专业与尊重
会员应以专业、理性、尊重的态度参与 A Club 组织或关联的所有活动与交流场景，包括但不限于线下活动、闭门会议、晚宴、路演、线上会议、社群讨论及私下引荐。
任何形式的人身攻击、侮辱性或歧视性言论、恶意干扰活动秩序或破坏他人正常交流的行为，均被视为严重违反本协议。
- 禁止不当商业行为
未经 A Club 官方明确许可，会员不得在任何 A Club 活动或社群中从事以下行为：
在非自愿情况下进行强推式销售或营销行为；
以骚扰、频繁或不当方式推销产品、服务或投资机会；
利用会员名录、活动信息或内部渠道进行群发广告、冷启动营销或变相商业推广。
以下行为在符合法律法规及俱乐部规则的前提下被允许：
基于双方自愿且明确同意的私下商业交流；
经 A Club 官方组织、认可或引荐的商务对接行为。
- 投资与项目交流免责声明
A Club 提供或组织的任何项目展示、路演、讨论或信息交流，仅用于信息分享与交流目的，不构成任何形式的投资建议、要约或承诺。
所有投资决策均由会员自行作出，相关风险亦由会员自行承担。任何会员不得以 A Club 名义对外承诺回报、为项目背书、募集资金或进行类似行为。
- 合规与法律遵守
会员在 A Club 相关场景中的所有行为，应遵守活动所在地及适用司法辖区的法律法规，包括但不限于投资、证券、反不正当竞争、隐私与数据保护等相关法律。
如 A Club 合理认为某会员行为涉嫌违法、违规或存在重大合规风险，A Club 有权立即介入并采取相应措施。
三、保密协议
- 保密信息的定义
“保密信息”包括但不限于以下内容，无论其以口头、书面、电子、展示或其他任何形式披露：
会员身份、联系方式、资产状况或企业相关信息；
项目路演内容、商业计划、财务数据、估值信息；
投融资讨论、交易结构、合作条件；
未公开的合作意向、会议内容、内部讨论；
A Club 的内部资料、会员名单、运营或战略信息。
- 保密义务
会员承诺对保密信息承担严格保密义务，不得向任何第三方披露、泄露、提供或允许其被不当使用。
会员不得在任何公开场合或社交媒体发布、传播 A Club 活动内容或相关信息，亦不得未经许可进行录音、录像、截图、转发或保存。
如因法律法规强制要求披露保密信息，会员应在合理范围内提前通知 A Club，并仅限于法律要求的最低披露范围。
- 使用限制
会员仅可将保密信息用于自身合法、正当的商业判断与合作评估之目的。
任何利用保密信息谋取不正当竞争优势、进行二次传播、转售、转让或其他未经授权使用的行为，均构成对本协议的违反。
四、违约与处理机制
如会员违反本协议任何条款，A Club 有权根据违规情节的严重程度，单独或合并采取以下措施：
向会员发出书面警告；
暂停或限制会员部分或全部权益；
终止会员资格，且不退还已缴纳的任何费用；
拒绝该会员未来再次申请加入 A Club；
在必要情况下，依法追究相关法律责任。
A Club 对是否构成违规及相应处理方式享有最终裁量权。
五、会员资格与解释权
A Club 保留对会员资格的最终审核、续期、暂停及终止的权利。
本协议的解释权归 A Club 所有。
六、确认与生效
会员通过签署本协议或以线上方式勾选确认，即视为已完整阅读、理解并同意本协议的全部条款。
本协议自会员确认之日起生效，对会员具有法律约束力。
The A Club
Code of Conduct & Confidentiality Agreement
- Purpose
The A Club (“A Club”) is an invitation-only private business and capital club established to provide its members with a secure, confidential, and high-quality environment for communication, collaboration, and resource exchange.
This Code of Conduct and Confidentiality Agreement (“Agreement”) sets forth the standards governing member behavior in connection with A Club activities, platforms, and communications, and aims to protect the legitimate interests of members, project participants, and A Club itself.
- Code of Conduct
2.1 Professionalism and Respect
Members shall participate in all A Club-related activities and interactions in a professional, rational, and respectful manner, including but not limited to offline events, closed-door meetings, dinners, roadshows, online meetings, community discussions, and private introductions.
Any form of personal attack, discriminatory or insulting language, or intentional disruption of activities or communications shall be deemed a material breach of this Agreement.
2.2 No Improper Solicitation
Unless expressly authorized by A Club, members shall not engage in the following activities within any A Club setting:
Aggressive or unsolicited sales or marketing activities;
Harassing or excessive promotion of products, services, or investment opportunities;
Use of member directories or internal information for mass advertising, cold outreach, or disguised commercial solicitation.
The following activities are permitted where lawful and compliant with A Club policies:
Private communications conducted on a voluntary and mutually agreed basis;
Business introductions or engagements officially organized or approved by A Club.
2.3 Investment Disclaimer
Any project presentations, roadshows, discussions, or information shared through A Club are provided solely for informational and communication purposes and do not constitute investment advice, recommendations, offers, or guarantees.
All investment decisions are made at the sole discretion and risk of the members. No member may represent A Club, guarantee returns, endorse projects, or raise funds in the name of A Club.
2.4 Legal and Regulatory Compliance
Members shall comply with all applicable laws and regulations in connection with A Club activities, including but not limited to laws relating to investments, securities, competition, privacy, and data protection.
If A Club reasonably believes that a member’s conduct involves illegal activity or significant compliance risk, A Club reserves the right to intervene and take appropriate action immediately.
- Confidentiality
3.1 Definition of Confidential Information
“Confidential Information” includes, without limitation, any information disclosed in oral, written, electronic, visual, or other form, including:
Member identities, contact details, asset or company information;
Project presentations, business plans, financial data, and valuations;
Investment discussions, transaction structures, and cooperation terms;
Non-public meeting content, internal discussions, or intentions;
A Club’s internal materials, member lists, operational or strategic information.
3.2 Confidentiality Obligations
Members shall keep all Confidential Information strictly confidential and shall not disclose, distribute, or allow access to such information by any third party.
Members shall not publish, share, record, photograph, screenshot, or otherwise disseminate A Club-related content without prior authorization.
Where disclosure is required by law, members shall notify A Club in advance where practicable and limit disclosure to the minimum extent legally required.
3.3 Use Limitation
Confidential Information may only be used for lawful and legitimate business evaluation and decision-making purposes by the member.
Any unauthorized use, redistribution, resale, transfer, or misuse of Confidential Information constitutes a breach of this Agreement.
- Breach and Enforcement
In the event of any breach of this Agreement, A Club may, at its discretion, take one or more of the following actions:
Issue a written warning;
Suspend or restrict membership rights;
Terminate membership without refund of any paid fees;
Deny future membership applications;
Pursue legal remedies where appropriate.
A Club retains final discretion in determining whether a breach has occurred and the appropriate enforcement action.
- Membership Rights and Interpretation
A Club reserves the final right to review, renew, suspend, or terminate any membership.
The interpretation of this Agreement shall be at the sole discretion of A Club.
- Acknowledgement and Effectiveness
By signing this Agreement or confirming acceptance electronically, the member acknowledges that they have read, understood, and agreed to be bound by all terms herein.
This Agreement shall take effect upon such confirmation and shall be legally binding on the member.
